1) Purpose

These terms and conditions (the “Terms”) govern access to and use of the websites, applications, products and services provided by VoidFrameMedia (“we”, “us”, “our”), and, where applicable, the sale of services and/or subscriptions (the “Services”).

By using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2) Definitions

• “Customer”: any individual or entity using or purchasing the Services.
• “Account”: the user space associated with a login identifier.
• “Content”: texts, images, files, data, videos, logos, etc.
• “User Content”: content transmitted, uploaded, or created by you through the Services.
• “Subscription”: access to the Services in exchange for recurring payment.
• “Site”: our websites and related pages.

3) Acceptance & related documents

These Terms apply to any visit, use, or purchase. They may be supplemented by specific terms (e.g., quotes, purchase orders, SLAs, internal policies), which will prevail in the event of a contradiction only for the relevant subject matter.

4) Eligibility

You represent that you have the legal capacity to enter into a contract and, if acting on behalf of a business, that you are authorized to bind it. Our Services are not intended for minors under 18.

5) Account, security & communications

• You are responsible for the accuracy of your account information and for keeping your credentials confidential.
• You must promptly notify us of any unauthorized use of your Account.
• We may send service communications (e.g., security, billing, planned outages).

6) Description of the Services

VoidFrameMedia provides a writing platform for its users. The community then votes on the best stories, and it serves as a springboard toward video adaptation.

We may improve, modify, or discontinue certain features in accordance with the “Changes” section.

7) Pricing

Disclosure: Message and data rates may apply for mobile/SMS communications.

8) Subscriptions, renewal & plan changes

• No subscription is required to use the platform.

9) Acceptable use

You agree not to:

• use the Services for illegal, fraudulent, or abusive purposes;
• attempt to bypass security, access accounts without authorization, or disrupt the Service;
• upload malicious content (viruses, scripts, malware);
• collect personal data without a lawful basis or consent;
• copy, resell, or exploit the Service without written authorization.

We may remove content or suspend an account in the event of a breach, in accordance with the Termination section.

10) User Content and assignment of rights

By submitting, publishing, or uploading any text, image, audio, video, or other material to the VoidFrameMedia platform (the “User Content”), you acknowledge and agree to the following:

1. Full assignment of rights

Subject to applicable law, you irrevocably assign to VoidFrameMedia all right, title, and interest in and to the User Content, including in particular:

• copyright (present and future);
• neighbouring/related rights, where applicable;
• all commercial exploitation rights; and
• the right to create derivative works.

This assignment is:

• worldwide;
• exclusive;
• transferable and sublicensable; and
• granted for the entire legal term of protection.

As of publication, VoidFrameMedia becomes the holder of the economic (patrimonial) rights in the User Content.

2. Waiver of moral rights (to the extent permitted by law)

To the extent permitted by applicable laws (including Canada and Québec), you waive the exercise of your moral rights in the User Content in favor of VoidFrameMedia and its successors and assigns.

Where a complete waiver is not permitted by law, you consent to VoidFrameMedia’s ability to:

• edit, adapt, translate, or transform the content;
• use it without any obligation to identify you as the author; and
• incorporate it into audiovisual works (including VoidRender films).

3. Exploitation rights of VoidFrameMedia

Without limitation, VoidFrameMedia may:

• reproduce, publish, broadcast, and distribute the content;
• edit, abridge, summarize, or adapt the content;
• create derivative works (including films, animations, AI-based content);
• use the content for commercial, promotional, or marketing purposes; and
• exploit the content on any media, format, or technology, now known or later developed.

No royalties or compensation are owed, unless otherwise agreed in writing.

4. User representations and warranties

You represent and warrant that:

• you are the original author of the content or you hold all necessary rights;
• the content does not infringe any copyright, trademark, image rights, or other third-party rights;
• the content contains nothing illegal, defamatory, or misleading; and
• you have obtained all required consents from identifiable persons.

You agree to indemnify VoidFrameMedia against any claim related to your content.

5. Refusal to publish

VoidFrameMedia reserves the right, at its sole discretion, to refuse, remove, or modify any content without notice.

6. Essential condition

If you do not accept this assignment of rights, you must not submit content to the platform.

11) Intellectual property

The Services, software, trademarks, logos, interfaces, designs, and content provided by VoidFrameMedia are protected by applicable laws. Except as expressly authorized, no rights are transferred.

12) Availability, maintenance & support

We aim for reasonable availability, without guaranteeing uninterrupted service. Planned maintenance may occur.

13) Privacy & personal data

The processing of personal information is described in our Privacy Policy. By using our Services, you acknowledge that you have read it.

If you receive messages (SMS or equivalent) from VoidFrameMedia:

15) Third-party services

Our Services may integrate third-party services (payment, hosting, analytics, social platforms, etc.). We do not control these services and are not responsible for their policies.

16) Disclaimers & limitation of liability

Except where mandatory law provides otherwise, the Services are provided “as is” and “as available”, without any express or implied warranties (merchantability, fitness for a particular purpose, non-infringement).

To the extent permitted by law, VoidFrameMedia will not be liable for indirect, special, or consequential damages (loss of profits, loss of data, business interruption), even if we were advised of the possibility of such damages.

Our total liability, for any dispute, is limited to the amount paid by you for the Services in the last 3 months, unless the law requires otherwise.

17) Indemnification

You agree to indemnify and hold VoidFrameMedia harmless from any liability related to your content, your use of the Services, or your breach of these Terms, to the extent permitted by law.

18) Termination & suspension

• By you: you may terminate according to the Cancellation section.
• By us: we may suspend or terminate in case of breach, security risk, fraud, or legal obligations, with or without notice depending on severity.

Upon termination, your right to access the Services ends, subject to any legal retention obligations.

19) Data after termination

After termination, we may delete or anonymize your data in accordance with our retention practices and legal obligations. Export: text file.

20) Changes to the Terms

We may modify these Terms. If changes are material, we will provide reasonable notice (e.g., via the Site or by email). The “Last updated” date at the top reflects the current version.

21) Governing law

These Terms are governed by the laws of Québec, Canada, without regard to conflict of laws rules.

22) Dispute resolution

In the event of a dispute, the parties will first attempt to resolve the matter amicably. Failing that, the competent courts of Montréal, Québec shall have exclusive jurisdiction, except where mandatory law provides otherwise.
